While we make reasonable efforts to meet all projected timelines, clients acknowledge that delivery efficiency is dependent on mutual coordination and timely decision-making throughout the lifecycle of the project.
7. Intellectual Property
Upon receipt of full and final payment, ownership rights of the explicitly defined final deliverables may be transferred to the client in accordance with the terms outlined in the governing agreement or statement of work. Such deliverables are limited strictly to the output explicitly described within the agreed project scope.

8. Limitation of Liability

Clients acknowledge that outcomes in digital transformation, AI implementation, and marketing or operational systems are inherently influenced by multiple external variables including market dynamics, platform algorithms, competitive conditions, and internal organizational execution, all of which are beyond our direct control or guarantee.
9. Third-Party Services
Our services may rely on third-party platforms such as cloud infrastructure providers, analytics and tracking tools, automation software, artificial intelligence models, APIs, and other external digital systems that are essential for the execution, optimization, and scaling of modern enterprise-grade solutions. These third-party services may be integrated directly or indirectly into workflows depending on project requirements and technical architecture.

Any request that introduces new functionality, significant redesign, expanded scope, or strategic reorientation shall be considered outside the original agreement.
We reserve the right to improve, modify, or evolve our methodologies, frameworks, systems, and execution approaches at any time without prior notice, especially where such enhancements improve efficiency, scalability, accuracy, or overall service quality. Any major revisions requested by the client may require reassessment of timelines, reallocation of resources, and adjustment of associated costs based on the revised scope of work.
11. Termination
Either party may terminate an active engagement by providing written notice in accordance with the terms outlined in the respective agreement, proposal, or signed statement of work. Upon termination, the client remains responsible for all payments related to work completed, resources utilized, and milestones achieved up to the effective date of termination, including partially completed deliverables where applicable.
We reserve the right to immediately suspend or permanently terminate services without prior notice in cases involving non-payment, violation of agreed terms, misuse of systems, unethical conduct, or any activity that disrupts project integrity or operational continuity. In such cases, access to systems, deliverables, or ongoing work may be restricted until all outstanding obligations are fully resolved.
